Service: Algopulse — Intelligent Meeting Assistant · Effective date: October 6, 2026
§ 1. Definitions
Capitalized terms used in these Terms have the following meanings:
- Provider — ALGOPOETICA SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ with its registered office at Aleja Jana Pawła II 43A / 37B, 01-001 Warsaw, Poland, NIP: 5273061434, KRS: 0001036276, REGON: 525572566, e-mail: contact@algopoetica.ai.
- Terms — this document together with its annexes, constituting terms of service for electronic services within the meaning of the Polish Act on Providing Services by Electronic Means.
- User — an individual, legal person, or organizational unit without legal personality that has entered into an agreement with the Provider for the Algopulse — Intelligent Meeting Assistant service by creating an Account. A User may be a Consumer or a Business Customer; the scope of the User’s rights depends on this distinction.
- Consumer — a User who is an individual entering into the agreement with the Provider for a purpose not directly related to their business or professional activity. A Consumer has the rights described in § 13, and selected provisions of the Terms (in particular limitations of liability) do not apply to a Consumer to the extent they would breach mandatory consumer protection laws. Wherever these Terms grant rights to a Consumer, those rights also apply to an individual entering into an agreement directly related to their business activity where the agreement shows that it is not of a professional nature for them (Article 38a of the Polish Consumer Rights Act).
- Business Customer — a User who is not a Consumer within the meaning of item 4 above.
- Application — the Algopulse software made available by the Provider on a Software-as-a-Service basis at https://algopulse.app, used to record Meetings, transcribe them, and generate Summaries using artificial intelligence.
- Account — a User’s individual panel in the Application, secured by a login and password.
- Subscription — paid access to the Application’s functionality under a selected subscription tier.
- Trial Period — a free period of using the Application under a selected Plan, counted from the moment it starts (for the first Plan, from Account registration) and lasting until the end of the period, or the use of the Recording Time allowance, set out in the price list, whichever occurs first. A Trial Period is available separately for each Plan for which the price list provides one.
- Meeting — an online session held via a communication platform (Google Meet, Microsoft Teams, Discord, or an uploaded audio/video file), which the Assistant joins at the User’s instruction to record and transcribe it.
- Assistant — the Application component that joins a Meeting as a visible participant to record it and produce a Transcript (Algopulse | [inviting User’s e-mail address]).
- Meeting Participant — an individual taking part in a Meeting, regardless of whether they hold an Account in the Application.
- Recording — an audio or audio-video capture of a Meeting made by the Assistant.
- Transcript — a text rendering of the statements in a Recording, produced automatically using an AI system.
- Summary — content generated by an AI system based on a Transcript, containing an overview of the Meeting and identifying decisions and tasks.
- User Content — Recordings, Transcripts, Summaries, and Meeting Metadata created in connection with the User’s use of the Application.
- Meeting Metadata — the title, date, time, duration, and participant list of a given Meeting.
- DPA / Data Processing Addendum — the agreement on entrusting the processing of personal data, entered into automatically with a User who is a Business Customer under § 7(3).
- Plan — a Subscription tier: Solo, Pro, or Business, with the scope described in § 5 and in the price list published in the Application and on the Provider’s website.
- Recording Time — the allowance of Recording time, expressed in hours and minutes, available to an Account under a Subscription, the Trial Period, or Additional Recording Time. Recording Time is consumed in proportion to the length of Recordings made by the Assistant and of audio and video files uploaded by the User to the Application.
- Additional Recording Time — a paid package of hours, or a number of minutes chosen by the User, of Recording Time purchased in addition to the allowance included with the Subscription.
- AI Assistant — the feature of the Application that allows the User to ask questions about User Content and receive answers generated by an AI system. The AI Assistant is a feature distinct from the Assistant referred to in item 11.
- Fair Use Limit — the limit on use of the AI Assistant, measured as the total number of tokens (units of text processed by the language model) consumed within the periods stated in the price list, as set out in § 5(8).
- Personal Workspace — a workspace in the Application available to a User holding the Solo Plan and to the Account owner under the Pro or Business Plan, intended exclusively for that person and not visible to other Users. Members invited to an Organization Workspace and Recipients do not have a Personal Workspace.
- Organization Workspace — a multi-user workspace in the Application available under the Pro and Business Plans, allowing the creation of teams and projects and the invitation of members.
- Additional Seat — a paid entitlement to add, under the Pro Plan, a further member beyond the number of Users included in the Plan price; each Additional Seat increases the Account’s Recording Time as set out in § 5(6).
- No-Plan Account (Read-only Mode) — the state of a User’s workspace in which the User has no active Plan (in particular after a Plan or Trial Period has ended), and also the Account of an invited person or a Recipient who has no Plan; in this state the User has free access only to the actions listed in § 10(2), without the ability to record Meetings or upload files.
- Tasks (Living Tasks) — the module for managing decisions from Meetings and projects as a Kanban board, automatically linked to evidence in the Transcript.
- Billing Period — a monthly or annual period for which the Subscription fee is charged in advance, as chosen by the User.
- Share — the User’s act of giving an identified person access to a selected Recording together with its Transcript and Summary, on the terms set out in § 14.
- Recipient — a person to whom a User has made a Share, who is not a member of the User’s Organization Workspace and does not occupy a seat in the User’s Plan.
§ 2. Technical Requirements
- Proper use of the Application requires:
- an internet connection of at least 2 Mb/s;
- a current version of a web browser (Chrome, Firefox, Safari, Edge) with JavaScript and cookies enabled;
- an active e-mail address.
- The Provider endeavors to ensure continuity of the Application at an availability level of 99.5% per month.
§ 3. Registration and User Account
- Creating an Account requires completing the registration form and accepting these Terms.
- The User must provide true and up-to-date information.
- Sharing login credentials with third parties is prohibited.
- The User is responsible for all actions taken on their Account.
- When a Consumer registers an Account, the Application additionally presents a checkbox concerning the request for immediate performance of the service and the loss of the right of withdrawal, described in detail in § 13(4).
§ 4. Rules for Providing and Using the SaaS Service
- The Provider provides electronic services within the scope described in the specification of the Algopulse Application.
- The User must not submit unlawful content or content that infringes personal rights, copyright, or the privacy of third parties.
- When using the audio, voice, or Meeting transcription features, the User represents and warrants that they have obtained all legally required consents from Meeting Participants before recording begins and before the data is processed in the Application — in accordance with applicable national law and foreign laws on consent to recording conversations, including U.S. state laws (details: § 11).
- The Provider reserves the right to technical interruptions necessary for software maintenance.
§ 5. Payments and Subscriptions
-
After the Trial Period ends (at the end of the period, or once the Recording Time allowance, set out in the price list is used, whichever occurs first), continuing to record Meetings and upload files requires choosing a Plan and paying the fee. A given User, workspace, or communication platform server may use the Trial Period of a given Plan only once; the Trial Period is available separately for each Plan. During a Trial Period of the Pro Plan, the number of Users stated in the price list may use the Account, sharing a common Recording Time allowance and a common Fair Use Limit.
-
Subscription fees are charged in advance for a monthly or annual period, as chosen by the User, through the payment operator Stripe Payments Europe, Ltd. With annual payment, the User receives the discount stated in the price list.
-
The Subscription renews automatically for the next Billing Period unless the User cancels it before the end of the current Billing Period.
-
Prices in the price list are gross prices, i.e. they include value added tax (VAT), and are stated in euros (EUR). The User may choose the payment currency at checkout among the currencies offered by the payment operator. A Business Customer established in another EU Member State that has provided a valid EU VAT identification number is invoiced the net amount under the reverse-charge mechanism.
-
The Provider offers the following Plans: a) Solo — a plan for one person (1 User, no Additional Seats); b) Pro — a plan for teams (several Users included, Additional Seats available); c) Business — a plan for companies — all terms (features, integrations, limits, payment terms, price) are agreed individually in an agreement. The Business Plan is concluded only with a Business Customer, under a separate agreement (order form); these Terms apply to the extent the agreement does not provide otherwise.
The Recording Time, price, and number of Users included in the Solo and Pro Plans are set out in the price list. An Account may hold a Solo Plan and a Pro or Business Plan at the same time, but not two Plans of the same kind. Each Plan is a separate Subscription with its own Recording Time, its own Additional Recording Time, and its own Fair Use Limit. There is no change of Plan: moving from Pro to Solo is done by cancelling the Pro Plan under paragraph 14 and purchasing the Solo Plan, and moving from Solo to Pro is done by purchasing the Pro Plan, the Solo Plan continuing until it is cancelled.
-
The Solo Plan, and the Pro and Business Plans for the Account owner, include the owner’s Personal Workspace. The Recording Time allowance and the number of seats belong to the Account of the owner (administrator), who may allocate them among the workspaces they create. In the Personal Workspace of an owner of the Pro Plan who also holds the Solo Plan, Recording Time and the Fair Use Limit under the Solo Plan are used first and then those under the Pro Plan; in Organization Workspaces only the Pro Plan applies. Under the Pro Plan, the Account owner may purchase Additional Seats at the price stated in the price list; each Additional Seat increases the Recording Time allowance in each Billing Period by the amount stated in the price list.
-
Recording Time included with the Subscription renews at the start of each Billing Period; any unused part does not carry over to the next Billing Period. The User may purchase Additional Recording Time at any time — as a package of hours or any number of minutes — in accordance with the price list. Additional Recording Time does not expire at the end of a Billing Period and remains available with no expiry (for as long as the Account exists). Recording Time included with the Subscription is used first, and Additional Recording Time only once it is exhausted. The Application shows Recording Time usage in hours and minutes on an ongoing basis. A Consumer has the right to withdraw from a purchase of Additional Recording Time under the rules set out in § 13.
-
The AI Assistant is included in the price of every Plan, subject to the Fair Use Limit. The limit is measured as the total tokens consumed by the AI Assistant within the periods stated in the price list (a shorter rolling period and a longer period). The limit applies per Account; in the Pro plan it is shared by all team members. The current values of the Fair Use Limit for each Plan are set out in the price list, and the extent of its use is shown in the Application, which warns the User as the limit is approached. Once the limit is reached, the ability to ask the AI Assistant questions is paused until the limit renews for the relevant period; all other features of the Application continue to work. The AI Assistant is not an unlimited service.
-
Generating a Summary after a Recording ends, including regenerating a Summary after speakers are reassigned, is covered by Recording Time and does not count toward the Fair Use Limit.
-
The Provider may change the values of the Fair Use Limit only for valid reasons — in particular changes in the costs or terms of AI model providers, changes in the models made available, or prevention of abuse — by notifying the User at least 14 days in advance. A User who does not accept the change may terminate the agreement before it takes effect, with effect on the date the change takes effect, and receives a pro-rata refund of the fee for the unused, prepaid period.
-
Storing User Content in the Application is not subject to a separate charge. The Provider may in the future introduce charges for storing data beyond limits set out in the price list, as a change to the price list, notifying the User at least 14 days in advance, with the right to terminate the agreement under paragraph 10. Introducing such charges does not entitle the Provider to delete User Content without prior notice and without giving the User an opportunity to export it.
-
A person without an active Plan uses a No-Plan Account free of charge, in the Read-only Mode described in § 10. A No-Plan Account is not a free plan and does not allow recording Meetings or uploading files. Data in a workspace without a Plan is deleted as described in § 10(4).
-
Regardless of the chosen Plan (subject to the limits of Read-only Mode described in § 10), every User has access to the Tasks (Living Tasks) module in the full Kanban board view, to all source platforms (Google Meet, Microsoft Teams, Discord, upload of audio/video files), and to manual configuration of the retention period of their data in the Application, without time limits resulting from the Plan.
-
The User may cancel a Plan at any time from the Application. Cancellation takes effect at the end of the current Billing Period; until then the User keeps full access and may reinstate the Plan. Before cancellation is confirmed, the Application shows its effects, in particular for an Organization Workspace and its members, who keep read access after the Plan ends under § 10. The payment operator’s tool is used to manage the payment card and invoices; a Plan cannot be changed or cancelled there.
-
All Users covered by a Plan are billed together and renew on the same day. An Additional Seat added during a Billing Period is charged pro rata for the remainder of the period, and the Recording Time allowance for that period increases by the same proportion; from renewal the full price and full allowance apply. Removing an Additional Seat during a Billing Period results in a credit for the unused part of the fee, applied to the next invoice (not refunded to the payment card), and the Recording Time allowance is reduced proportionally. The Application shows the amount and the number of hours before the change is saved. The provisions of § 13 remain unchanged.
-
The Provider sends the User, and in cases indicated in the Application also members of an Organization Workspace, billing and Plan e-mail messages: about a Trial Period that is about to end, the start of a paid Plan with the amount, a failed payment, Recording Time being used or exhausted, a Plan that is about to end, and upcoming deletion of data under § 10. These messages relate to performance of the agreement and are not commercial information; except for the combined notice that a member was unable to start a Recording, they cannot be turned off. Invoices and payment confirmations are issued by the payment operator.
§ 6. Copyright and License
- Copyright and other intellectual property rights in the Algopulse Application — excluding User Content, addressed in paragraph 3 — belong exclusively to the Provider.
- Upon payment of the Subscription, the Provider grants the User a non-exclusive, non-transferable license, which cannot be terminated during the Subscription, to use the Application in accordance with its intended purpose.
- The rules on ownership of User Content (Recordings, Transcripts, and Summaries), including the legal mechanism for transferring rights in AI-generated content, are set out in § 12(6).
- The User undertakes not to use the software and User Content in a way that infringes copyright, image rights, voice rights, or other personal rights of third parties.
§ 7. Protection of Personal Data (GDPR)
- In providing the Application, the Provider acts in two roles defined by data protection law: it is the controller of the User’s Account data, billing data, and technical data, and the processor of User Content (Recordings, Transcripts, Summaries, and Meeting Metadata) — in that respect it acts solely on the instruction of the User, who acts as the controller of Meeting Participants’ data.
- The rules for processing personal data, including retention periods, categories of recipients, transfers outside the EEA, and the use of cookies, are set out in the Privacy Policy available at https://algopulse.ai/privacy.
- When a Business Customer enters into the agreement, the parties conclude, without a separate signature, the Data Processing Addendum (DPA) on the terms described in that document. A Consumer cannot act as the controller of Meeting Participants’ data — the DPA does not apply to a Consumer, and the Provider remains the controller of all of the Consumer’s data in accordance with the Privacy Policy.
- By entering into the DPA, a User who is a Business Customer represents that it has a legal basis for recording Meetings and processing Meeting Participants’ data, including providing them with the required information — in accordance with § 11.
- The Provider applies technical and organizational measures protecting data against unauthorized disclosure, destruction, or modification, described in detail in Annex B to the DPA.
§ 8. Complaints and Liability
- Complaints relating to the provision of the Services may be submitted by e-mail to contact@algopoetica.ai.
- The Provider handles a complaint within 14 days of receiving it.
- The Provider’s liability towards Business Customers for all claims relating to these Terms is limited to the fees paid by the User in the 12 months preceding the event, excluding damage caused intentionally.
- The limitation in paragraph 3 does not apply to Consumers. Towards a Consumer, the Provider’s liability is governed solely by generally applicable Polish law.
- No provision of these Terms excludes or limits the Provider’s liability for damage caused to the User intentionally, for personal injury, or liability under mandatory provisions of law, including the GDPR towards data subjects.
§ 9. Termination and Account Deletion
- The User may cancel the subscription and delete the Account at any time from the Application panel.
- The Provider may block or delete a User’s Account in the event of a breach of these Terms, after first requesting that the breach cease.
- After the Account is deleted, the User’s data is retained in accordance with legal requirements (e.g. tax law) and the Privacy Policy.
- The end of a Plan does not delete the Account or terminate the agreement as regards the No-Plan Account; the effects of the end of a Plan, including Read-only Mode and deletion of data, are set out in § 10.
§ 10. End of a Plan, Read-only Mode, and Deletion of Data
- A User’s workspace in which there is no active Plan (after a Plan ends, including through cancellation or non-payment, or after a Trial Period expires) operates in Read-only Mode. The mode is the same for the owner and for members of an Organization Workspace whose owner has no active Pro Plan. If the User has another active Plan, the mode applies only to workspaces not covered by that Plan.
- In Read-only Mode the User may view and play back Recordings, read Transcripts, download and copy Summaries, use data export, delete Recordings, AI Assistant conversations and the Account, change Recording titles, view Tasks (read-only), and view content shared with the User by other Users. In Read-only Mode the following are not possible: recording Meetings and uploading files, using the AI Assistant, changing speaker assignments, regenerating Summaries, sending Summaries by e-mail, saving to Google Drive and Notion, and assigning Recordings to projects. Connected integrations remain connected, but automatic recording of Meetings is skipped.
- Purchasing or reinstating a Plan restores full functionality of the workspace, provided its data has not yet been deleted under paragraph 4. A Trial Period that expired without any Recordings leads to Read-only Mode and does not entitle the User to another Trial Period of the same Plan.
- Recordings, Transcripts, Summaries, projects and Tasks in a workspace operating in Read-only Mode are permanently deleted 12 months after the date the Plan ended. The Account, organizations and memberships remain. The Provider sends the owner and the members of the workspace an e-mail warning 30 and 7 days before deletion. Until then the User may download their data, delete it themselves, or reinstate the Plan; reinstating the Plan before deletion cancels the deletion. Deletion does not occur before the end of that period or before the warnings have been sent.
- Automatic deletion of Transcripts and Summaries under the Privacy Policy and the User’s retention settings also applies in Read-only Mode. Where two periods apply to the same data, the earlier one applies.
- Deletion of data under paragraph 4 does not exclude the Provider’s obligations under law, in particular the obligation to retain billing data (§ 9(3)).
§ 11. Recording of Meetings and Participant Consent
- Recording of a Meeting is started only by the User, by inviting the Assistant to the Meeting. The Application does not record Meetings on its own. The User decides which Meetings are recorded and bears full responsibility for that decision.
- By inviting the Assistant to a Meeting, the User undertakes to: a) obtain the consent of all Meeting Participants to the recording before it begins — regardless of the jurisdiction in which a given Participant is located (the All-Party Consent standard, adopted by the Provider as a uniform product standard — see the Recording Consent Guide); b) inform Participants of the fact of recording, the purpose of processing, the retention period of the Recording and Transcript, the identity of the controller of their data, and their rights; c) ensure a legal basis for processing Participants’ personal data — in this respect the User acts as the controller of Meeting Participants’ data, and the Provider as a processor acting solely on its instruction (§ 7(1)); d) enable a Participant to object to the recording and stop recording the Meeting at their request; e) comply with the laws on consent to recording conversations in the jurisdictions of all Participants, including U.S. state laws (e.g. All-Party Consent in California, Florida, Illinois, Pennsylvania, and Washington).
- If a Meeting may involve special categories of personal data within the meaning of Article 9 GDPR (e.g. health data, political opinions, religious beliefs, or trade union membership), the User ensures on its own a legal basis under Article 9(2) GDPR for processing them. The Provider does not prohibit entering such data into the Application, but applies to all User Content the uniform, enhanced level of security described in Annex B to the DPA.
- The Assistant (Algopulse | [inviting User’s e-mail address]) joins the Meeting as a visible participant, and on Google Meet and Microsoft Teams additionally posts a message in the Meeting chat informing that the Meeting is being recorded and identifying the person who invited the Assistant. The visibility of the Assistant and this message support the fulfilment of the information obligation towards Participants, but do not replace it or release the User from the obligations described in paragraph 2. On Discord, the Assistant is visible as a participant in the voice channel and, when recording starts and stops, posts a recording message in the text channel and plays an audio announcement in the voice channel. If the Discord server has not granted the Assistant permission to send messages, the text message will not be posted — the User should check this in the server settings.
- The User must not: a) record Meetings for which it does not have the legal basis described in paragraph 2(c); b) use the Application for covert monitoring of employees or evaluation of their performance without a separate legal basis and without informing the persons concerned; c) record conversations covered by professional secrecy (defense counsel, attorney, medical, journalistic) without the consents and safeguards required by applicable law.
- A breach of the obligations described in this section entitles the Provider to suspend or delete the User’s Account under § 9. Liability towards third parties for recording a Meeting in breach of Participants’ consent or applicable law lies solely with the User. This provision does not limit the Provider’s liability under mandatory provisions of law and cannot be read as an attempt to shift to a Consumer the Provider’s liability for its own actions.
- A detailed, practical description of the obligations related to recording — including the list of U.S. states with the All-Party Consent standard — is provided in the Recording Consent Guide. The processing of Participants’ data is described in the Privacy Policy, and for Users who are Business Customers additionally in the DPA (§ 7).
§ 12. Artificial Intelligence and Generated Content
- The Application uses artificial intelligence systems to produce Transcripts (Amazon Transcribe) and to generate Summaries (language models provided through Amazon Bedrock and run in AWS regions located in the European Union). By using the Application, the User interacts with an AI system within the meaning of Article 50(1) of Regulation (EU) 2024/1689 (the EU AI Act), of which the User is hereby informed.
- The Provider marks Summaries in the Application interface as machine-generated content, in accordance with Article 50(2) of the EU AI Act.
- Transcripts and Summaries may contain inaccuracies, omissions, and errors — including attributing statements to the wrong person or stating decisions that were not actually made. Transcript quality depends in particular on audio quality, language, Participants’ accents, and overlapping speech. A Summary is not minutes, an official document, or evidence in proceedings.
- The User undertakes to verify the content of the Transcript and Summary before using it for purposes that may have legal or financial effects. The Provider is not liable for damage resulting from decisions made solely on the basis of a Summary without such verification — this provision does not exclude the Provider’s liability for its own acts or omissions, or liability towards a Consumer to the extent this would be contrary to mandatory provisions of law.
- User Content (Recordings, Transcripts, Summaries, Meeting Metadata) is not and will not be used to train, fine-tune, or improve any artificial intelligence models — either by the Provider or by its sub-processors. This commitment applies without exception.
- Recordings, Transcripts, and Summaries constitute User Content and remain the User’s property. The Provider obtains only the license necessary to provide the service — non-exclusive, limited to the purpose of performing the agreement and to its duration. To the extent a Summary may not constitute a work within the meaning of copyright law, the Provider transfers to the User all rights that could arise in connection with its generation and undertakes not to challenge the User’s rights to User Content.
- The Application does not make decisions about the User or Meeting Participants that produce legal effects or similarly significantly affect them in an automated manner within the meaning of Article 22 GDPR. Summaries are purely informational and are subject to human assessment.
- Using the Application to assess the performance, behavior, or emotional state of employees or other persons without a separate legal basis and without informing the persons concerned is prohibited. The Application does not analyze the emotions, tone, or mood of Participants’ statements.
- A broader description of the AI systems used in the Application, including the risk classification under the EU AI Act, is provided in the AI Transparency Notice.
§ 13. Right of Withdrawal (Consumer)
- This section applies only to Consumers within the meaning of § 1(4). Business Customers — except an individual entering into an agreement directly related to their business activity where it is not of a professional nature for them — do not have the right of withdrawal described in this section.
- A Consumer who has entered into a distance agreement with the Provider may withdraw from it without giving reasons within 14 days of its conclusion (i.e. from the date of Account registration), subject to paragraph 4. Sending the withdrawal statement before the deadline is sufficient to meet it.
- The withdrawal statement may be made in any form clearly expressing the will to withdraw, in particular: by e-mail to contact@algopoetica.ai, via a form available in the Application, or using the template in Annex 1 to these Terms. Using the template in Annex 1 is not mandatory.
- Loss of the right of withdrawal. The right of withdrawal referred to in paragraph 2 does not apply if the Provider has fully performed the digital service with the express prior consent of the Consumer, who was informed before performance began that they would lose the right of withdrawal once the Provider has performed the service, and acknowledged this. For this purpose, at Account registration the Application presents to the Consumer a separate checkbox, not ticked by default, confirming: (a) the request to start the service before the withdrawal period expires and (b) the acknowledgement of the loss of the right of withdrawal after full performance of the service. Ticking the checkbox is a necessary condition for starting the service (including the Trial Period) before the period referred to in paragraph 2 expires — without ticking it, the Consumer retains the right of withdrawal regardless of the extent to which the Application has been used.
- The agreement is concluded upon Account registration, not upon the first payment — the period in paragraph 2 runs from registration. Accordingly: a) if the Consumer withdraws during the Trial Period, they have not yet paid any fee and the withdrawal does not involve a refund; b) if the Consumer ticked the checkbox described in paragraph 4 and the Provider fully performed the service before the withdrawal period expired, the right of withdrawal expires under paragraph 4; c) if the first payment was charged after the Trial Period and the Consumer has not lost the right of withdrawal under paragraph 4, withdrawal results in a refund of that payment under paragraph 6; d) if the Consumer starts a further Plan after registering the Account (in particular the Trial Period of a second Plan under § 5(1) and (5)) or buys a Plan after the Trial Period ends, those Plans are performed under the agreement concluded upon Account registration; the period in paragraph 2 does not start again for a further Plan, and the request and statement given under paragraph 4 at registration cover provision of the service within the Account, including further Plans.
- Upon effective withdrawal, the Provider refunds to the Consumer all payments received from them without undue delay and no later than 14 days from receiving the withdrawal statement, using the same payment method the Consumer used, unless the Consumer has expressly agreed to another method. If the Consumer expressly requested the service to start before the withdrawal period expired and withdrew before it was fully performed, they must pay for the services provided up to the time of withdrawal, in proportion to the extent of the service provided.
- After an effective withdrawal, the Consumer may download their User Content from the Application before the Account is deleted. The data is then deleted under the rules described in the Privacy Policy, no later than 30 days after the withdrawal.
- The template withdrawal statement is set out in Annex 1 to these Terms.
§ 14. Sharing User Content with People Outside the Team
- The User may make a Share of a selected Recording (with its Transcript and Summary) to named people, in particular by an e-mail message sent by the Application on the User’s behalf. The message contains the content of the Summary and invites the person to open the Application. A Share is made on the User’s instruction.
- A Recipient gains access only after signing in to an Account with the confirmed e-mail address to which the Share was made. A Recipient who has no Account creates one under these Terms and may start a Trial Period in accordance with the price list. A Recipient does not occupy a seat in the User’s Plan.
- A Recipient can see the Summary and the Transcript with speaker names, play back the Recording, use timestamps, download the Summary and view Tasks in read-only form; a Recipient cannot see the e-mail addresses of Meeting Participants. A Recipient cannot download audio or video files, reprocess or edit the Recording, send it by e-mail, save it to Google Drive or Notion, or share it further. Other people’s AI Assistant conversations are not visible to the Recipient. The AI Assistant on a shared Recording operates under the Recipient’s own Plan, and its conversations are not visible to the User who made the Share.
- The User who made the Share sees the list of Recipients’ e-mail addresses and may revoke the Share at any time. The Provider does not track or disclose to the User whether the Recipient opened the message, entered the Application or played the Recording.
- A Share does not expire. It ends when it is revoked or the Recording is deleted; before deletion the Application informs the User about existing Shares. Recipients do not receive a copy of the Recording. If the workspace of the User who made the Share has no active Plan, the Shares are suspended and the Recipient sees a message that the content is temporarily unavailable; when the Plan is reinstated, the Shares resume.
- The User who made the Share is responsible for having a legal basis to disclose User Content to the Recipient and for informing Meeting Participants of that disclosure; § 11(2) applies accordingly. The User does not share content with people as to whom the User has no such basis.
- The owner and administrators of an Organization Workspace may separately disable sending Summaries outside the organization and sharing Recordings outside the organization. Where sharing is disabled, the e-mail message is sent without a button leading to the Application.
- The Provider may set a limit on the number of Recipients, stated in the Application, and may suspend Shares in the event of a justified suspicion of abuse or of a breach of these Terms or of law.
- The rules for processing Recipients’ personal data, including the e-mail address that comes from the User who made the Share, are described in the Privacy Policy.
§ 15. Final Provisions
- The Provider may amend these Terms only for valid reasons, namely: a change in generally applicable law affecting the content of the Terms, a change in the scope or manner of providing the service (including the introduction of new features), security considerations, a court ruling or a decision of a public authority that the Provider is obliged to follow, or a change in the Provider’s registration data.
- The Provider informs Users of the content of an amendment at least 14 days before it takes effect, by e-mail to the address associated with the Account and by a notification in the Application.
- If the User does not accept an amendment, they may terminate the agreement with immediate effect up to the date the amendment takes effect, without incurring any additional costs. Failure to terminate the agreement within this period means that the User accepts the amended Terms, of which the Provider informs the User in the notification referred to in paragraph 2. This paragraph does not apply to amendments referred to in paragraph 1 made to adapt the Terms to a legal obligation, to the extent the Provider has no discretion as to the timing or content of the amendment.
- Matters not regulated by these Terms are governed by Polish law, including the Civil Code and the Consumer Rights Act.
- A Consumer may use out-of-court complaint and redress procedures, including via the online dispute resolution platform (ODR platform) available at https://ec.europa.eu/consumers/odr. Using out-of-court procedures is voluntary.
- Disputes with a User who is a Business Customer are resolved by the court having jurisdiction over the Provider’s registered office (applies only to Users who are not Consumers). This provision does not apply to Consumers — the competent court for disputes with a Consumer is determined by generally applicable law.
- If any provision of these Terms is held invalid or ineffective by a final court ruling, the remaining provisions remain in force, and the Provider replaces the invalid provision with a provision as close as possible to its purpose that does not infringe the Consumer’s rights under mandatory provisions of law.
- Annex 1 — the template withdrawal statement — forms an integral part of these Terms.
- These Terms enter into force on the date stated in the document header. Archived versions of the Terms are kept and made available to Users on request sent to contact@algopoetica.ai.

1. Definitions
Capitalized terms used in these Terms of Service (“Terms”) have the meanings set out below. Terms defined elsewhere in these Terms retain that meaning throughout.

- “Living Tasks” means the task management and Kanban board module within the Services connecting action items directly to corresponding transcript evidence.
2. Acceptance and Eligibility
2.1. By creating an Account, clicking to accept these Terms, or using the Services, Customer enters into a binding agreement with Provider on these Terms, effective as of that date.
2.2. If Customer is an individual accepting these Terms on behalf of an entity, that individual represents that they have the authority to bind that entity, and “Customer” refers to that entity.
2.3. The Services are not directed to, and may not be used by, individuals under 18 years of age. By using the Services, Customer represents that it and its Authorized Users meet this age requirement.
2.4. Customer represents that it is not located in, and will not access the Services from, a country or region subject to U.S. government embargo, and is not listed on any U.S. government list of prohibited or restricted parties. Provider may suspend or terminate access where required to comply with applicable export control or economic sanctions law.
3. The Services
3.1. The Services allow Customer to have the Notetaker join a Meeting, record it, generate a Transcript using an AI transcription system (Amazon Transcribe), and generate a Summary using an AI language model (language models provided through Amazon Bedrock and run in AWS regions located in the European Union), and to access these outputs through the Services.
3.2. Provider may modify, update, or discontinue features of the Services from time to time. Provider will not materially reduce the core functionality of a paid Subscription during the Subscription Term for which Fees have been paid without providing Customer at least 30 days’ notice.
3.3. Provider targets 99.5% monthly uptime for the Services. This is a target, not a guaranteed service level with associated service credits; Provider does not currently offer uptime service credits.
3.4. Provider may perform scheduled maintenance that temporarily affects availability and will use commercially reasonable efforts to provide advance notice of maintenance expected to cause a material disruption.
4. Accounts and Access
4.1. Customer is responsible for maintaining the confidentiality of its Account credentials and for all activity occurring under its Account, including activity by its Authorized Users. Customer must notify Provider promptly of any unauthorized use of its Account.
4.2. Customer is responsible for the acts and omissions of its Authorized Users under these Terms as if they were Customer’s own.
4.3. Customer will not, and will not permit any Authorized User to: (a) access or use the Services to build a competing product or service; (b) reverse engineer, decompile, or disassemble the Services, except to the extent such restriction is prohibited by applicable law; (c) resell, sublicense, rent, or lease access to the Services to any third party without Provider’s prior written consent; (d) circumvent any usage limits or access restrictions of the Services; (e) introduce malicious code or attempt to gain unauthorized access to the Services or their underlying infrastructure; or (f) use the Services in a manner that violates applicable law.
4.4. Provider may suspend Customer’s or an Authorized User’s access to the Services where Provider reasonably believes such access poses a security risk to the Services or to other customers, subject to Section 10.
5. Customer Obligations
5.1. Customer will use the Services in compliance with all applicable laws, including laws governing the recording of communications, data protection, and export control.
5.2. Customer is solely responsible for obtaining all consents, permissions, and legal bases necessary for its use of the Services, including those described in Section 6.
5.3. Customer will not use the Services to infringe, misappropriate, or otherwise violate the intellectual property, privacy, or other rights of any third party.
6. Recording and Consent Requirements
6.1. Customer is solely and exclusively responsible for obtaining the consent of every Meeting
Participant before a Meeting is recorded, regardless of which state’s or country’s consent
standard would otherwise apply to that Meeting. Provider requires Customer to comply with the
strictest commonly applicable U.S. standard — all-party (two-party) consent — for every Meeting,
regardless of the actual location of any Meeting Participant. Detailed practical guidance,
including a list of all-party consent states, is provided in RECORDING_CONSENT_GUIDE.md.
6.2. The Notetaker joins each Meeting as a visible participant, and on Google Meet and Microsoft Teams additionally posts a message in the Meeting chat identifying that the Meeting is being recorded and who invited the Notetaker. The Notetaker’s visible presence and this chat message support, but do not replace or satisfy, Customer’s obligation under Section 6.1 to obtain Meeting Participants’ consent. On Discord, the Notetaker is visible as a participant in the voice channel and, when recording starts and stops, posts a recording message in the text channel and plays an audio announcement in the voice channel. If the Discord server has not granted the Notetaker permission to send messages, the text message will not be posted; Customer should verify this in the server settings.
6.3. Customer will not use the Services to record any communication protected by attorney-client privilege, physician-patient privilege, or any other legal privilege or professional duty of confidentiality, unless Customer has obtained all consents and implemented all safeguards required for such recording under applicable law and professional rules.
6.4. Meetings may incidentally capture sensitive information about Meeting Participants, including health information, biometric information (voice), or other categories of sensitive personal information under applicable state law. Provider does not prohibit such information from being captured through the Services, but Customer is solely responsible for maintaining any legal basis, consent, or safeguard required for its collection and use under applicable law, including the Health Insurance Portability and Accountability Act (where Customer is a covered entity or business associate), the Illinois Biometric Information Privacy Act, and applicable state consumer privacy laws governing sensitive personal information.
6.5. Customer will not use the Services for covert surveillance of employees or other individuals, or in any manner not disclosed to the individuals being recorded.
6.6. A violation of this Section 6 constitutes a material breach of these Terms and may result in immediate suspension or termination of Customer’s Account under Section 10, without the cure period otherwise provided for material breach.
6.7. Customer acknowledges that recording a communication without the required consent may constitute a criminal offense and/or give rise to civil liability, including class action liability, under the law of certain U.S. states, and that Provider has no ability to verify whether Customer has obtained the consent required for any given Meeting. Customer will indemnify Provider for claims arising from Customer’s recording of a Meeting without the required consent, as further described in Section 15.
7. Customer Data and Ownership
7.1. As between the parties, Customer owns all right, title, and interest in and to Customer Data. Provider obtains no ownership interest in Customer Data.
7.2. Customer grants Provider a limited, non-exclusive license to access, host, process, and display Customer Data solely to the extent necessary to provide the Services to Customer, for the duration of the applicable Subscription Term. This license terminates upon deletion of the underlying Customer Data under Section 7.4, except with respect to backup copies pending their scheduled rotation.
7.3. Provider does not use Customer Data to train, fine-tune, or otherwise improve any artificial intelligence or machine learning model, whether proprietary to Provider or operated by a third party. This restriction applies without exception.
7.4. Upon termination of Customer’s Account (as distinct from the end of a Plan, which is governed by Section 10.6), and at Customer’s election communicated before the end of the applicable retrieval window, Provider will make Customer Data available for export in a structured, commonly used format, or will delete Customer Data, within 30 days of termination, except where applicable law requires Provider to retain specific data for a longer period (e.g., billing records for tax purposes).
7.5. Sharing. Customer may Share a selected Recording, with its Transcript and Summary, with identified individuals, in particular by an e-mail message sent by the Services on Customer’s behalf. The message contains the content of the Summary and invites the Recipient to open the Services. Sharing takes place on Customer’s instruction. A Recipient gains access only after signing in to an Account whose e-mail address has been confirmed as the address to which the Recording was Shared; a Recipient without an Account creates one under these Terms and may start a Trial Period as stated in the price list. A Recipient does not occupy a seat in Customer’s Plan.
7.6. A Recipient can see the Summary and the Transcript with speaker names, play back the Recording, use timestamps, download the Summary, and view Living Tasks in read-only form; a Recipient cannot see the e-mail addresses of Meeting Participants. A Recipient cannot download audio or video files, reprocess or edit the Recording, send it by e-mail, save it to Google Drive or Notion, or Share it further, and cannot see other people’s AI Assistant conversations. The AI Assistant on a Shared Recording operates under the Recipient’s own Plan, and the Recipient’s conversations are not visible to Customer.
7.7. Customer sees the list of Recipients’ e-mail addresses and may revoke a Share at any time. Provider does not track or disclose to Customer whether a Recipient opened the message, signed in, or played the Recording. A Share does not expire; it ends when Customer revokes it or deletes the Recording (the Services inform Customer of existing Shares before deletion), and Recipients do not receive a copy of the Recording. While the workspace of the Customer who Shared a Recording has no active Plan, the Shares are suspended and the Recipient sees a message that the content is temporarily unavailable; the Shares resume when a Plan is active again.
7.8. Customer is responsible for having a legal basis to disclose Customer Data to each Recipient and for informing Meeting Participants of that disclosure; Section 6 applies accordingly. Customer will not Share Customer Data with an individual as to whom Customer has no such basis.
7.9. The owner or an administrator of an Organization Workspace may separately disable sending Summaries outside the organization and Sharing Recordings outside the organization; where Sharing is disabled, the e-mail message is sent without a link to the Services. Provider may set a limit on the number of Recipients, stated in the Services, and may suspend Shares where it reasonably suspects abuse or a violation of these Terms or of law. How Provider handles Recipients’ personal data is described in the Privacy Policy.
8. AI-Generated Content and Limitations
8.1. The Services use artificial intelligence systems, including Amazon Transcribe for transcription and language models provided through Amazon Bedrock and run in AWS regions located in the European Union for Summary generation.
8.2. Transcripts and Summaries are generated automatically and may contain inaccuracies, omissions, or errors, including misattributed statements or references to matters that were not actually discussed. A Summary is not an official record, transcript of record, minutes, or evidence of what occurred in a Meeting.
8.3. Customer is responsible for independently verifying the content of a Transcript or Summary before relying on it for any purpose that could have legal or financial consequences. Provider is not liable for consequences arising from reliance on a Transcript or Summary without such verification, subject to Section 14.
8.4. The Services do not use Customer Data to make decisions producing legal effects, or similarly significant effects, concerning Customer, its Authorized Users, or Meeting Participants, on a fully automated basis. Summaries are informational and are subject to human review.
8.5. The Services do not analyze the emotion, tone, mood, or engagement of any individual’s speech, and Customer will not use the Services, or any output of the Services, for such a purpose, including for employee monitoring or performance evaluation, without a separate legal basis and disclosure to the individuals concerned.
8.6. Additional information about the AI systems used in the Services, including risk
classification under applicable AI regulation, is available in AI_TRANSPARENCY_NOTICE.md.
9. Fees, Payment, and Taxes
9.1. Customer may access the Services on a trial basis at no charge from Account registration until the end of the period, or the use of the Recording Time allowance, stated in the price list, whichever occurs first (“Trial Period”). A Customer, workspace, or Discord server is eligible for only one (1) Trial Period of each Plan, and a separate Trial Period applies to each Plan. During a Trial Period of the Pro Plan, the number of Authorized Users stated in the price list may use the Account and share its Recording Time and Fair Use Limit. Following the Trial Period, recording Meetings and uploading files requires an active, paid Subscription.
9.2. Fees are set out in the applicable Order and are billed in advance on a monthly or annual cycle, as selected by Customer. Subscriptions renew automatically for successive terms of the same length unless cancelled by Customer before the end of the then-current term, effective at the end of that term.
9.3. Except as expressly stated in these Terms or required by applicable law, Fees are non-refundable and non-creditable.
9.4. If Customer’s payment is not received when due, Provider may charge interest on the overdue amount at a rate of 1.5% per month, or the maximum rate permitted by applicable law, whichever is lower, and may suspend Customer’s access to the Services if payment is not received within 7 days after notice of non-payment.
9.5. Prices in Provider’s public price list are stated in euros (EUR) and, for customers in the European Union, include value added tax (VAT). Customer may select the payment currency at checkout among the currencies offered by the payment processor. For Customers outside the European Union, Fees are exclusive of applicable sales, use, and similar taxes, which Customer is responsible for, excluding taxes based on Provider’s net income. An annual billing cycle is discounted as stated in the price list.
9.6. Customer’s payments will be processed by Stripe Payments Europe, Ltd. (or its affiliates) acting as the payment processor on behalf of the Provider.
9.7. Provider may change its pricing for future Subscription Terms by providing at least 30 days’ notice before the change takes effect. If Customer does not agree to a price change, Customer may decline to renew its Subscription under Section 10.
9.8. Provider offers the following Plans: (a) Solo — a plan for one person (1 User, no Additional Seats); (b) Pro — a plan for teams (several Users included, Additional Seats available); and (c) Business — a plan for companies — all terms (features, integrations, limits, payment terms, price) agreed individually in an order form. The Business Plan is available only under a separate Order with a business entity; these Terms apply to the extent the Order does not provide otherwise. There is no change of Plan: moving from Pro to Solo is done by cancelling the Pro Plan under Section 9.16 and purchasing a Solo Plan, and moving from Solo to Pro is done by purchasing a Pro Plan, the Solo Plan continuing until cancelled.
9.9. The Solo Plan, and the Pro and Business Plans for the Account owner, include the owner’s Personal Workspace. Recording Time and seats belong to the Account of the owner (administrator), who may allocate them among the workspaces the owner creates. In the Personal Workspace of an owner of a Pro Plan who also holds a Solo Plan, Recording Time and Fair Use Limit under the Solo Plan are used first and then those under the Pro Plan; in Organization Workspaces only the Pro Plan applies. Under the Pro Plan, the Account owner may purchase Additional Seats at the price stated in the price list; each Additional Seat increases the Account’s Recording Time per billing cycle by the amount stated in the price list.
9.10. The AI Assistant is included in every Plan, subject to the Fair Use Limit. The Fair Use Limit is measured as the total tokens consumed by the AI Assistant within the periods stated in the price list (a shorter rolling period and a longer period). The Fair Use Limit applies per Account; in the Pro plan shared by all team members. The current values of the Fair Use Limit for each Plan are set out in the price list, and the extent of its use is displayed in the Services, which warn users as the limit is approached. Once the limit is reached, questions to the AI Assistant are paused until the limit renews for the relevant period; all other features of the Services remain available. The AI Assistant is not an unlimited service. Generating a Summary after a Recording, including regenerating a Summary after speakers are reassigned, is covered by Recording Time and does not count toward the Fair Use Limit.
9.11. Provider may change the values of the Fair Use Limit only for valid reasons — in particular changes in the costs or terms of AI model providers, changes in the models made available, or prevention of abuse — by giving Customer at least 30 days’ notice. If Customer does not agree to the change, Customer may terminate the Subscription effective on the date the change takes effect and will receive a pro-rata refund of prepaid Fees for the unused period.
9.12. Recording Time included with a Subscription renews at the start of each billing cycle; unused Recording Time does not roll over. Customer may purchase Additional Recording Time at any time, as a package of hours or any number of minutes, at the prices in the price list. Additional Recording Time does not expire at the end of a billing cycle and remains available with no expiry (for as long as the Account exists). Recording Time included with the Subscription is used first, then Additional Recording Time. The Services show Recording Time usage in hours and minutes.
9.13. Storing Customer Data in the Services is not subject to a separate charge. Provider may in the future introduce charges for storage of data beyond limits stated in the price list, as a price change under Section 9.7. Introducing such charges does not entitle Provider to delete Customer Data without prior notice and an opportunity for Customer to export it.
9.14. An individual without an active Plan may use a No-Plan Account free of charge, in Read-only Mode as described in Section 10.6. A No-Plan Account is not a free plan and does not permit recording Meetings or uploading files. Data in a workspace without a Plan is deleted as described in Section 10.7.
9.15. Regardless of the chosen Plan, all Customers receive full access to the Living Tasks Kanban board module, all supported meeting and media sources (Google Meet, Microsoft Teams, Discord, and upload of audio/video files), and the ability to configure and modify data retention settings manually without plan-based duration restrictions, except for the limits of Read-only Mode described in Section 10.6.
9.16. Customer may cancel a Plan at any time from within the Services. Cancellation takes effect at the end of the then-current billing cycle; until then Customer keeps full access and may reinstate the Plan. Before Customer confirms, the Services show the effects of cancellation, in particular for an Organization Workspace and its members, who keep read access under Section 10.6 after the Plan ends. The payment processor’s customer portal is used to manage the payment card and invoices; a Plan cannot be changed or cancelled there.
9.17. All users covered by a Plan are billed together and renew on the same day. An Additional Seat added during a billing cycle is charged pro rata for the remainder of the cycle, and the Account’s Recording Time for that cycle increases by the same proportion; from renewal the full price and full allowance apply. Removing an Additional Seat during a billing cycle results in a credit for the unused portion, applied to the next invoice (not refunded to the payment card), and the Recording Time is reduced proportionally. The Services show the amount and the hours before the change is saved. Nothing in this Section limits any statutory right of withdrawal.
9.18. Provider sends billing and Plan e-mail messages through the Services: that a Trial Period is ending, that a paid Plan is starting and its amount, a failed payment, Recording Time being used or exhausted, a Plan about to end, and upcoming deletion of data under Section 10.7. Where indicated in the Services these messages also go to members of an Organization Workspace. They relate to performance of the contract and are not marketing; except for the combined notice that a member was unable to start a Recording, they cannot be turned off. Invoices and payment receipts are issued by the payment processor.
10. Term, Renewal, and Termination
10.1. These Terms commence on the date Customer accepts them and continue for as long as Customer’s Account exists, including while the Account has no active Subscription.
10.2. Each Subscription Term automatically renews under Section 9.2 unless Customer cancels auto-renewal before the end of the then-current term. Customer may cancel at any time from within the Services; cancellation is effective at the end of the then-current billing period, and no partial-period refund is due except as required by applicable law.
10.3. Either party may terminate these Terms or the applicable Subscription for cause if the other party materially breaches these Terms and fails to cure that breach within 15 days after written notice describing the breach, except that Provider may terminate or suspend immediately for a breach of Section 6 (Recording and Consent Requirements) or Section 4.3, or for non-payment following the suspension period in Section 9.4.
10.4. Upon termination or expiration: (a) Customer’s right to access the Services ends; (b) Customer Data is handled under Section 7.4; (c) each party will return or destroy the other party’s Confidential Information under Section 11; and (d) any Fees owed through the effective date of termination remain due.
10.5. Sections 1, 7, 9 (as to Fees accrued), 11, 12, 13, 14, 15, 16, and 18 survive termination or expiration of these Terms.
10.6. Read-only Mode. A workspace in which there is no active Plan (after a Plan ends, including through cancellation or non-payment, or after a Trial Period expires) operates in read-only mode (“Read-only Mode”), which is the same for the owner and for members of an Organization Workspace whose owner has no active Pro Plan. In Read-only Mode the user may view and play back Recordings, read Transcripts, download and copy Summaries, use data export, delete Recordings, AI Assistant conversations and the Account, change Recording titles, view Living Tasks (read-only), and view content Shared with that user. The user may not record Meetings or upload files, use the AI Assistant, change speaker assignments, regenerate Summaries, send Summaries by e-mail, save to Google Drive or Notion, or assign Recordings to projects. Connected integrations remain connected, but automatic recording of Meetings is skipped. If Customer has another active Plan, Read-only Mode applies only to workspaces not covered by that Plan. Purchasing or reinstating a Plan restores full functionality if the data has not yet been deleted under Section 10.7. A Trial Period that expires without any Recordings leads to Read-only Mode and does not entitle Customer to another Trial Period of the same Plan.
10.7. Deletion of data after the end of a Plan. Recordings, Transcripts, Summaries, projects and tasks in a workspace that is in Read-only Mode are permanently deleted 12 months after the date the Plan ended. The Account, organizations and memberships remain. Provider sends the owner and members of the workspace an e-mail warning 30 and 7 days before the deletion. Until then Customer may download its data, delete it, or reinstate the Plan; reinstating the Plan before deletion cancels the deletion. Deletion does not occur before the end of that period or before the warnings have been sent.
10.8. Automatic deletion of Transcripts and Summaries under Customer’s retention settings and the Privacy Policy continues to apply in Read-only Mode; where two periods apply to the same data, the earlier one applies. Deletion under Section 10.7 does not affect Provider’s obligation to retain data required by law, such as billing records.
11. Confidentiality
11.1. “Confidential Information” means non-public information disclosed by one party (“Disclosing Party”) to the other (“Receiving Party”) that is designated as confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure, including business, technical, and financial information. Customer Data is Confidential Information of Customer.
11.2. Confidential Information does not include information that: (a) is or becomes public through no fault of the Receiving Party; (b) was rightfully known to the Receiving Party before disclosure; (c) is rightfully received from a third party without duty of confidentiality; or (d) is independently developed without use of the Disclosing Party’s Confidential Information.
11.3. The Receiving Party will use the Disclosing Party’s Confidential Information solely to exercise its rights and perform its obligations under these Terms, will protect it using at least the same degree of care it uses for its own confidential information of similar nature (and no less than reasonable care), and will limit access to personnel and contractors with a need to know who are bound by confidentiality obligations at least as protective as this Section 11.
11.4. The Receiving Party may disclose Confidential Information if required by law or legal process, provided it gives the Disclosing Party prompt notice (where legally permitted) so the Disclosing Party may seek a protective order.
11.5. Upon the Disclosing Party’s request following termination of these Terms, the Receiving Party will return or destroy the Disclosing Party’s Confidential Information, except copies retained under standard backup procedures or as required by law, which remain subject to this Section 11.
12. Privacy and Data Protection
12.1. Provider’s collection and use of personal data in connection with the Services is described in the Privacy Policy, available at https://algopulse.ai/, which is incorporated into these Terms by reference.
12.2. If Customer is a business entity, the Data Processing Addendum (“DPA”) is automatically incorporated into, and forms part of, these Terms upon Customer’s acceptance of these Terms, governing Provider’s processing of personal data contained in Customer Data as a processor acting on Customer’s instructions. The DPA does not apply to Customers acting as consumers.
12.3. With respect to Customer Data that constitutes “Personal Information” under the California Consumer Privacy Act or equivalent U.S. state privacy laws, Provider acts as a “Service Provider” (or equivalent term) and is subject to the restrictions set out in Section 16 of the DPA.
12.4. Customer Data is processed principally in the European Union (AWS cloud — regions located in the European Union). Additional detail on data location and sub-processors is provided in the Privacy Policy and the DPA.
13. Warranties and DISCLAIMER OF WARRANTIES
13.1. Each party represents and warrants that it has the authority to enter into these Terms and that doing so does not conflict with any other agreement to which it is a party.
13.2. Customer represents and warrants that it has all rights and consents necessary to submit Customer Data to the Services, including the consents described in Section 6, and that its use of the Services complies with applicable law.
13.3. EXCEPT AS EXPRESSLY SET OUT IN SECTION 13.1 AND 13.2, THE SERVICES, INCLUDING ALL TRANSCRIPTS AND SUMMARIES, ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PROVIDER DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY TRANSCRIPT OR SUMMARY WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. TO THE EXTENT APPLICABLE LAW DOES NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, THE ABOVE EXCLUSIONS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.
14. LIMITATION OF LIABILITY
14.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.2. EXCEPT FOR THE EXCLUSIONS IN SECTION 14.3, EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED the total fees paid by Customer in the twelve (12) months preceding the event giving rise to the claim.
14.3. The limitations in Sections 14.1 and 14.2 do not apply to: (a) a party’s indemnification obligations under Section 15; (b) a breach of Section 11 (Confidentiality); (c) either party’s gross negligence or willful misconduct; or (d) liability that cannot be limited or excluded under applicable law (including, for Provider, statutory liability toward data subjects under applicable data protection law).
14.4. Some states do not allow the exclusion or limitation of certain damages or implied warranties; in such states, some of the exclusions and limitations in Sections 13 and 14 may not apply to Customer, and Provider’s liability will be limited to the maximum extent permitted by applicable law.
15. Indemnification
15.1. Customer will defend, indemnify, and hold harmless Provider from and against any third-party claim, and associated damages, liabilities, costs, and reasonable attorneys’ fees, arising from or relating to: (a) Customer’s recording of a Meeting without the consent required under Section 6; (b) Customer Data, including any claim that Customer Data infringes a third party’s rights or violates applicable law; or (c) Customer’s or an Authorized User’s breach of these Terms.
15.2. Provider will defend, indemnify, and hold harmless Customer from and against any third-party claim, and associated damages, liabilities, costs, and reasonable attorneys’ fees, alleging that the Services, as provided by Provider and used in accordance with these Terms, infringe that third party’s U.S. intellectual property rights. This Section 15.2 does not apply to claims arising from: (i) Customer Data; (ii) modification of the Services not made by Provider; (iii) use of the Services in combination with products or services not provided by Provider, where the claim would not have arisen but for that combination; or (iv) Customer’s continued use of the Services after Provider has notified Customer of the infringing element and made available a non-infringing substitute of materially equivalent functionality.
15.3. The party seeking indemnification will: (a) promptly notify the indemnifying party of the claim in writing; (b) give the indemnifying party sole control of the defense and settlement of the claim, provided that no settlement admitting fault on behalf of the indemnified party may be made without its prior written consent; and (c) provide reasonable cooperation, at the indemnifying party’s expense.
16. Governing Law and Dispute Resolution
16.1. These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
16.2. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Wilmington, Delaware, rather than in court, except that either party may bring an individual action in small claims court, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or Confidential Information without first pursuing arbitration.
16.3. DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. NEITHER PARTY MAY BRING A CLAIM AS A PLAINTIFF OR CLASS MEMBER IN A PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION, AND THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PARTY. To the extent this class action waiver is found unenforceable as to a particular claim or dispute, that claim or dispute may be brought only in a court of competent jurisdiction under Section 16.1, and not on a class basis.
16.4. EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL with respect to any dispute arising out of or relating to these Terms, to the extent such dispute is not subject to arbitration under this Section 16.
16.5. Customer may opt out of the arbitration agreement in Section 16.2 by sending written notice to contact@algopoetica.ai within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms, including the governing law in Section 16.1.
16.6. Each party bears its own costs of arbitration, except as the arbitrator may otherwise award under the applicable arbitration rules.
17. Changes to the Terms
17.1. Provider may modify these Terms from time to time. Provider will notify Customer of a material change by email to the address associated with Customer’s Account or by notice within the Services, at least 14 days before the change takes effect.
17.2. If Customer does not agree to a material change, Customer may terminate its Subscription before the change takes effect by cancelling under Section 10.2, without further liability for Fees beyond the then-current billing period. Continued use of the Services after a change takes effect constitutes acceptance of the modified Terms.
18. Miscellaneous
18.1. Assignment. Neither party may assign these Terms without the other party’s prior written consent, except that either party may assign these Terms without consent in connection with a merger, acquisition, or sale of substantially all of its assets. Any assignment in violation of this Section is void.
18.2. Force Majeure. Neither party is liable for any failure or delay in performance (excluding payment obligations) due to circumstances beyond its reasonable control, including acts of God, war, terrorism, labor disputes, internet or utility failures, or governmental action.
18.3. Notices. Notices under these Terms must be in writing and delivered by email (with confirmation of receipt), courier, or certified mail. Notices to Provider must be sent to contact@algopoetica.ai. Notices to Customer will be sent to the email address associated with its Account.
18.4. Entire Agreement. These Terms, together with any Order, the Privacy Policy, and (if applicable) the DPA, constitute the entire agreement between the parties regarding the Services and supersede all prior agreements and understandings regarding their subject matter. In the event of a conflict, the order of precedence is: (a) an executed Order; (b) the DPA (as to data protection matters); (c) these Terms; (d) the Privacy Policy.
18.5. Severability. If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be so modified, and the remaining provisions will remain in full force and effect.
18.6. No Waiver. A party’s failure to enforce a provision of these Terms is not a waiver of its right to do so later.
18.7. Relationship of the Parties. The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship.
18.8. No Third-Party Beneficiaries. These Terms do not confer any rights or remedies on any person other than the parties, except as expressly stated in Section 15 (Indemnification).
18.9. Export Compliance. Customer will comply with all applicable export control and economic sanctions laws in its use of the Services, and will not export, re-export, or transfer the Services in violation of such laws.
18.10. U.S. Government End Users. If Customer is a U.S. federal government end user, the Services are a “commercial item” as defined in 48 C.F.R. § 2.101, and are licensed with only those rights granted to all other end users under these Terms, consistent with 48 C.F.R. § 12.212 and 48 C.F.R. §§ 227.7202-1 through 227.7202-4, as applicable.
18.11. Survival. The provisions identified in Section 10.5 survive termination or expiration of these Terms, along with any other provision that by its nature is intended to survive.
